Terms and condition
This web page will enable you to make an electronic submission to Yad Hanadiv for an idea, suggestion or other proposal for the digital future of, and increasing accessibility to and usage of, Israel's cultural heritage artifacts, including in connection with the collection of the National Library of Israel, as described in the Call for Proposals: www.tarboot.org/en/competition-rules/ (together with any other communication you send us, or to MindCET or GESA in connection with the Startup Track, "Your Submission"; the Call for Proposals together with this submission agreement, "Agreement").
Please note that all communications from you, including Your Submission, may be sent by Yad Hanadiv ("we" or "us") to a limited group of third parties, including without limitation consultants, and employees of MindCET and GESA in connection with the Startup Track, but in any case only for use in connection with the Competition.
Please note that in connection with the Startup Track, you will be able to make your electronic submission on MindCET’s website at: https://bit.ly/tarboottrackGESAsignup. In such event, Your Submission will be sent by MindCET to Yad Hanadiv, and for the avoidance of doubt, this Agreement will apply as well (and will be the only agreement which governs Your Submission).
You will remain the exclusive owner of all right, title, and interest (including without limitation all intellectual property rights) in and to Your Submission. No ownership right is conveyed to us, or other parties. Similarly, if we provide any information to you, we will remain the sole owners or licensors of that information.
You represent to us that you are the sole owner of Your Submission, and that you have the full right to represent all the members of your group ("Group Members") who contributed to Your Submission. You further represent that Your Submission contains no confidential information or material owned by any third party, and that you do not need to obtain the consent of any other person or entity in order to send us Your Submission.
You hereby grant to us a non-exclusive, perpetual, worldwide, unrestricted, irrevocable, royalty-free, transferable, sub-licensable right and license to use, reproduce, make available, display, perform and modify Your Submission. You understand that we may use, develop, receive, or purchase products or services competitive with, or similar to, Your Submission, that we may use Your Submission whether or not you are a winner of the Competition, and that we may further develop Your Submission by ourselves, and/or with other parties.
You waive and agree never to assert any moral rights that you may have in Your Submission, including without limitation any rights to attribution or limitation on subsequent modification. You agree that we will not be bound by any restrictive legends on Your Submission.
You agree that if you are a winner of the Competition or if you have received prize money from Yad Hanadiv under this Competition to implement your submission with the National Library of Israel, Yad Hanadiv and their affiliates, selected third parties permitted by Yad Hanadiv, as well as MindCET and GESA in connection with the Startup Track, may use your name, photograph and biographical information, as well as those of other Group Members, for publicity and promotional purposes.
You represent that you are of legal age and competent to enter this Agreement, or that your parent or legal guardian has reviewed this Agreement and clicked on the "I accept" button below. The Agreement, the Call for Proposals and any other published rules constitute our entire understanding with respect to Your Submission, and may be changed by us from time to time with notice on our website: www.tarboot.org. If you continue with the Competition after any changes in this Agreement, you will be bound by those changes.
You agree to defend, indemnify and hold us, our employees and agents and any third parties harmless from any claims that Your Submission infringes the intellectual property or other rights of any third party.
Yad Hanadiv, its affiliates, and subcontractors, as well as MindCET, GESA and the National Library of Israel, shall not be liable for any damages caused to you in connection with your participation or non-participation in the Competition.This Agreement is governed by the laws of Israel. Any dispute or controversy in connection with this Agreement or the Competition shall be subject to the exclusive venue and jurisdiction of the courts of Tel Aviv, Israel.
By clicking the "I accept" button below, you confirm that you have read the Agreement and agree that you and all Group Members are bound by its terms, and that such acceptance will be the equivalent of a signature on this Agreement. You also represent that you are authorized to execute this Agreement for the legal entity on whose behalf you are accepting the terms of this Agreement, and on behalf of all other Group Members.
